Sector1- Online Advertising Terms and Conditions

The Buyer must read and accept these terms and conditions before an Advertisement can be placed on Sector 1. By clicking the "Accept" button the Buyer agrees to be bound by these terms and conditions and consents to the use by Pearsons of his/her personal information in accordance with Pearsons' privacy policy. If the Buyer does not accept these terms and conditions, he/she/it is not authorised to place an Advertisement on Sector1.

1. Interpretation

In these terms and conditions:-

Advertisement - Means copy/content/matter submitted by the Buyer to be published on Sector 1;

Advertising Services - Means the provision of space on Sector1 and any other services provided pursuant to these terms and conditions;

Buyer - Means the individual, firm or company who/which places an order on Sector1 for the publication of an Advertisement whether such person be the advertiser ("Advertiser") or the Advertiser's advertising agency or media buyer;

Pearsons - Pearsons Advertising & Marketing Ltd (Company Number 2017766) whose registered office is at 1st Floor Corvette House, Falcon Court, Preston Farm Business Park, Stockton-on-Tees, TS18 3TX

Sector1 - Means the site on the internet provided by Pearsons which is located at: on which the Advertisement is to be published.

2. Acceptance

2.1. Pearsons - maintains a site on the internet located at: The contents of Sector 1 do not constitute an offer by Pearsons. Each contract for the sale of Advertising Services through Sector 1 is made with Pearsons.

2.2. An order placed by the Buyer on Sector1 shall amount to an offer by the Buyer to purchase Advertising Services subject to these terms and conditions.

2.3. All other terms and conditions, express or implied by statute or otherwise, are excluded to the fullest extent permitted by law.

2.4. Nothing in these terms and conditions shall affect the statutory rights of any consumer.

2.5. Upon placing an order on Sector1, the Buyer represents that he/she/it is duly authorised to enter into a contract subject to these terms and conditions; and

2.6. The Buyer shall be responsible for ensuring the accuracy of its order placed on Sector1 and Pearsons will not be obliged to accept an order unless all details requested on the order form have been entered correctly.

2.7. No order submitted by the Buyer on Sector 1 is accepted by Pearsons until Pearsons supplies the Advertising Services to the Buyer at which time a contract for the sale and purchase of Advertising Services is made.

3. Advertising

3.1. The Advertisement will be automatically published on Sector1 without any intervention of Pearsons. For each credit purchased by the Buyer pursuant to condition 7, an Advertisement will be published on Sector1 for a period of 7 days from and including the first day of publication.

3.2. The Buyer may amend or cancel the Advertisement at any time after it has been published on Sector 1. No refunds will be given by Pearsons in such circumstances.

3.3. The Buyer is solely responsible for electronically submitting the content of the Advertisement to Sector1. Pearsons will not be liable or responsible for checking the content of the Advertisement to ensure that it is correct, accurate and complete. Pearsons will not be liable for any errors, mistakes, or omissions made during the electronic submission, processing and/or posting of the content of the Advertisement to Sector1.

3.4. Pearsons may delete any Advertisement or part thereof from Sector1 at any time after it has been published on Sector 1 or refuse to post any Advertisement or part thereof to Sector1 if;

3.4.1. it is likely to breach any applicable law or regulation;

3.4.2. the Buyer has breached or threatened to breach these terms and conditions;

3.4.3. the content is obscene, defamatory, or infringes on any known intellectual property rights of any third party.

3.5. Pearsons will give the Buyer reasonable notice prior to any action being taken to remove an Advertisement from Sector1.

3.6. Pearsons may immediately delete, suspend, or refuse to accept any Advertisement if the Buyer fails any credit check carried out by Pearsons. Pearsons may check that the Buyer has authority to use any credit or other payment card to effect payment of the price for the Advertising Services pursuant to condition 7.

3.7. Pearsons will refund the pro-rata amount of the price paid for the credit for the period for which the Advertisement is not to be published on Sector1 where Pearsons takes the decision to withdraw the service unless there has been a breach of these terms and conditions by the Buyer.

3.8. Pearsons may change the position of any Advertisement on Sector1 at any time if necessary or desirable for organisational or presentational reasons.

3.9. Pearsons has content sharing agreements with other recruitment websites and by placing an Advertisement on Sector1, the Buyer agrees to the content of such Advertisement also appearing on other sites where a current content sharing agreement may be in place.

4. Warranties of Buyer

4.1. The Buyer warrants that:

4.1.1. in relation to Advertising Services the Buyer contracts with Pearsons as a principal notwithstanding that the Buyer may be acting directly or indirectly for the Advertiser as an advertising agent or media buyer or in some other representative capacity;

4.1.2. the reproduction and/or publication of the Advertisement by Pearsons as originally submitted will not breach any agreement or infringe or violate any copyright, trademark or any other personal or proprietary right of any person or render Pearsons liable to any proceedings whatsoever;

4.1.3. any information supplied in connection with the Advertisement is accurate, complete and true;

4.1.4. in respect of any Advertisement submitted for publication which contains the name or pictorial representation (photographic or otherwise) of any living person and/or any part of any living person and/or any copy by which any living person is or can be identified the authority of such living person to make use of such name, representation and/or copy has been obtained;

4.1.5. the Advertisement complies with the requirements of all relevant legislation (including subordinate legislation, the rules of statutorily recognised regulatory authorities and the law of the European Economic Community) for the time being in force or applicable in the United Kingdom;

4.1.6. all copy for the Advertisement submitted to Pearsons is legal, decent, honest, accurate and truthful and complies with the British Code of Advertising Practice and all other relevant codes under the general supervision of the Advertising Standards Authority; and

4.1.7. the Buyer has, or will procure prior to the publication date, all necessary consents, releases and licences to submit the Advertisement to Sector1 and to deal with it as described in these terms and conditions.

5. Indemnity

5.1. The Buyer will indemnify Pearsons and agrees to keep Pearsons indemnified against all claims, costs, proceedings, demands, losses, damages, expenses or liability whatsoever arising directly or reasonably foreseeably as a result of any breach by the Buyer or non performance by the Buyer of any of the representations, warranties or other terms contained in these terms and conditions or implied by law.

5.2. Where the Buyer is the Advertiser's advertising agency, the Buyer warrants that it is authorised by the Advertiser to place the Advertisement on Sector 1 and will indemnify Pearsons against any claim made by the Advertiser against Pearsons arising from the publication thereof.

6. Rights of Pearsons

6.1. Pearsons may refuse or require to be amended any copy for or relating to an Advertisement so as:

6.1.1. to comply with the legal or moral obligations placed on Pearsons or the Buyer or the Advertiser; or

6.1.2. to avoid infringing a third party's rights, the British Code of Advertising Practice and all other codes under the general supervision of the Advertising Standards Authority.

7. Payment

7.1. Payment for Advertising Services is made by the purchase by the Buyer of credits. The prices payable for credits from time to time are set out on Sector 1 and are exclusive of VAT. One credit equates to one Advertisement appearing on Sector 1 for 14 days. Discounts are available where a number of credits are purchased at the same time.

7.2. The Buyer will be liable to pay the whole of the price for a credit before acceptance by Pearsons of the Buyer's offer and before the contract is formed.

7.3. Once payment has been received Pearsons will confirm that the Buyer's order has been received by sending an email to the email address provided in the Buyer's registration form.

7.4. Pearsons shall have the right to change its prices at any time.

7.5. Pearsons is entitled to withdraw from any contract in the case of any obvious errors or inaccuracies which appear on Sector 1.

7.6. Credits that have been purchased and not used will expire 12 months after the purchase date. No refunds can be given for expired or unused credits.

8. Sector1 Site and Content

8.1. Pearsons will have sole control over the 'look and feel' of Sector1, including the look and feel of the content of the Advertisement provided by the Buyer to Sector1.

9. Intellectual Property

9.1. The content of Sector 1(such as text, graphics, logos, button icons, images, digital downloads, data compilations and software) is Pearsons'exclusive property or that of its content suppliers and is, unless specifically stated otherwise, protected by copyright, and other intellectual rights. It is published by Pearsons and may not be reproduced other than by downloading and viewing on a single CPU and/or printing a single hard copy, for private or internal business purposes only. It is not to be otherwise reproduced, transmitted, made available on a network or used to create derivative works without Pearsons'prior written consent. All rights reserved.

9.2. The trade marks and logos shown on Sector 1, unless otherwise specified, are the trade marks of Pearsons. No rights are granted to use any of them without Pearsons' prior written consent.

9.3. Any infringement of Pearsons' rights will result in appropriate legal action.

9.4. Any framing of Sector 1 is prohibited. Please do not link directly to any other pages on Sector 1. Pearsons cannot accept any responsibility or liability for access to or the material on any site which is linked from or to Sector 1.

10. Data Protection and Privacy

10.1. Any information given through Sector1 will be stored and used in accordance with Pearsons' privacy policy.

11. Liability of Pearsons

11.1. Pearsons will attempt to ensure that the information available on Sector1 at any time is accurate. However, Pearsons will not be held liable for any errors or omissions. Pearsons will use all reasonable endeavours to correct errors and omissions as quickly as practicable after becoming aware or upon being notified of these.

11.2. Pearsons may change, suspend or discontinue any aspect of Sector1, including the availability of any features, information, database or content or restrict access to parts or all of Sector1 without notice or liability.

11.3. Without prejudice to Pearsons' entitlement to be paid for publishing the Advertisement on Sector 1 a sum representing a reasonable proportion of the price pursuant to clause 7 prevailing at the time the order was placed, Pearsons' liability is limited to a maximum at its option of refunding the price paid by the Buyer for the credit or in an appropriate instance of publishing the Advertisement for a second time without charge. Any complaint, claim or query shall not affect the liability of the Buyer for payment of Pearsons' price for that and all other Advertisements for which the Buyer has placed orders on Sector 1.

12. Force Majeure

12.1. Pearsons shall have no liability to the Buyer for any failure to provide the Advertising Services or any delay in doing so that is caused by any event or circumstance beyond its reasonable control.

13. General

13.1. The contract which incorporates these terms and conditions shall be construed under and governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

13.2. Pearsons may from time to time change, alter, adapt, add or remove portions of these terms and conditions and will post any such changes on Sector1.

13.3. If any provision of these terms and conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these terms and conditions and the remainder of the provision in question will not be affected.

13.4. No waiver or indulgence by Pearsons shall be effective save in relation to the matter in respect of which it was specifically given.

13.5. The headings in these terms and conditions are for convenience only and will not affect their interpretation.
